Disclosures & Client Acknowledgment

Please read the following carefully before continuing.

ARA Consulting Enterprises LLC (“ARA”) provides administrative business compliance support, filing assistance, deadline tracking, renewal reminders, and general business consulting services at the direction of the client.

1. Not a Law Firm or Accounting Firm

ARA Consulting Enterprises LLC is not a law firm, CPA firm, or tax preparation firm. ARA does not provide legal, tax, accounting, or financial advice. Clients should consult with a licensed attorney, CPA, tax professional, or other qualified professional regarding matters requiring professional advice.

2. Self-Help & Administrative Services

ARA provides administrative and self-help business services based on information and instructions provided by the client. Services may include preparing or assisting with business filings, tracking deadlines, providing reminders, assisting with business license renewals, and other administrative compliance-related services.

ARA does not determine which legal structure, tax election, license, permit, or filing is legally required or most appropriate for a client's particular circumstances.

3. Client Responsibility for Information

The client is responsible for providing complete, current, and accurate information to ARA.

Before any document or application is submitted, the client is responsible for reviewing the information for accuracy and notifying ARA of any corrections or changes.

ARA is not responsible for delays, penalties, rejected filings, additional fees, or other consequences resulting from inaccurate, incomplete, outdated, or late information provided by the client.

4. Compliance & Deadline Reminders

ARA may maintain records of known filing, renewal, tax-payment, license, permit, and other business deadlines and provide reminders as part of the client's selected service package.

Reminder services are provided as an administrative convenience and do not transfer the ultimate responsibility for compliance to ARA.

The business owner remains responsible for knowing and meeting all applicable federal, state, county, city, licensing, tax, regulatory, and other requirements affecting the business.

5. Tax Payment Reminders

ARA may provide reminders regarding known tax-payment deadlines, including California Franchise Tax Board deadlines.

ARA does not calculate taxes, determine tax liability, prepare tax returns, provide tax advice, or determine whether a client qualifies for an exemption or other tax treatment.

Clients should verify all tax obligations, amounts, and deadlines with the appropriate taxing authority or their tax professional before making a payment.

6. Business Licenses, Permits & Renewals

Business licensing and permit requirements vary depending on the business activity, location, ownership, and applicable government agencies.

ARA may assist with applications, renewals, and deadline tracking; however, ARA does not guarantee that all licenses, permits, registrations, or approvals required for a particular business have been identified.

The client remains responsible for confirming the requirements applicable to their business.

7. Government & Third-Party Processing

ARA is an independent business consulting company and is not affiliated with or endorsed by the California Secretary of State, Franchise Tax Board, IRS, any city or county, or any other government agency.

ARA cannot guarantee government processing times, application approvals, filing acceptance, license issuance, or permit approval.

Processing times and requirements are determined by the applicable agency and may change without notice.

8. Government & Third-Party Fees

ARA's service fees are separate from all government filing fees, taxes, license fees, permit fees, penalties, expedited processing fees, and other third-party charges unless specifically stated otherwise in writing.

The client is responsible for these additional charges.

9. Changes to Laws, Fees & Requirements

Government requirements, forms, filing fees, tax deadlines, licensing requirements, and regulations may change.

ARA will make reasonable efforts to provide current administrative information but does not guarantee that government requirements or fees will remain unchanged.

10. Scope of Services

ARA is responsible only for services specifically included in the client's selected package or separately purchased service.

Additional filings, amendments, reinstatements, dissolutions, permit applications, complex compliance matters, research, or other services outside the agreed scope may require an additional service fee.

11. No Guarantee of Compliance or Business Results

ARA does not guarantee that use of its services will prevent penalties, late fees, suspension, forfeiture, loss of good standing, license expiration, or other compliance issues.

ARA also does not guarantee business approval, profitability, financing, licensing, insurance placement, or any particular business outcome.

12. Client's Duty to Notify ARA of Changes

Clients must promptly notify ARA of changes that may affect their business records or compliance obligations, including changes to:

  • Business name or address
  • Mailing address
  • Owners, members, managers, officers, or directors
  • Registered Agent
  • Business activities or operations
  • Business location
  • Licenses or permits
  • Contact information
  • Business closure, sale, or ownership changes

ARA cannot track or act upon changes that have not been communicated to us.

13. Communication & Reminder Delivery

Clients are responsible for maintaining current telephone numbers, email addresses, mailing addresses, and other contact information with ARA.

ARA is not responsible for missed communications or reminders resulting from outdated contact information, blocked emails, spam filters, disconnected telephone numbers, or other circumstances outside ARA's reasonable control.

14. Client Acknowledgment

By purchasing or using ARA Business Compliance Management Services, the client acknowledges that they have read and understand these disclosures and agree that ultimate responsibility for the business's filings, taxes, licenses, permits, renewals, and regulatory compliance remains with the business owner.
